Agreement to Terms
These Terms of Service (“Terms”) govern your use of the Shuksan Studios website and any web design, development, or related services (“Services”) provided by Shuksan Studios (“we,” “us,” or “our”), a business based in Ridgefield, Washington.
By accessing our website or engaging our Services, you agree to be bound by these Terms. If you do not agree, please do not use our website or Services.
Services
Shuksan Studios provides boutique web design and development services. The specific scope, deliverables, timeline, and pricing for any project will be defined in a separate service agreement or proposal provided to the client before work begins.
Client Responsibilities
When engaging our Services, you agree to:
- Provide accurate and complete information necessary for the project
- Supply content, images, logos, and other materials in a timely manner
- Review and provide feedback on deliverables within agreed-upon timelines
- Ensure that any materials you provide do not infringe on third-party intellectual property rights
- Designate a primary point of contact for project communications
Delays caused by late or incomplete client-provided materials may affect project timelines and are not the responsibility of Shuksan Studios.
Pricing and Payment
- Project pricing will be outlined in a proposal or service agreement prior to commencement of work.
- Payment terms, including deposit requirements and milestone payments, will be specified in the service agreement.
- Invoices are due upon receipt unless otherwise stated.
- Late payments may be subject to a fee as specified in the service agreement.
- We reserve the right to pause or suspend work on a project if payments are overdue.
Intellectual Property
Client Ownership
Upon receipt of full payment, the client receives ownership of the final deliverables, including custom design files and code, unless otherwise specified in the service agreement.
Shuksan Studios Rights
We retain the right to:
- Display completed projects in our portfolio and marketing materials unless the client requests otherwise in writing
- Reuse general techniques, tools, frameworks, and non-client-specific code components developed during the project
- Use third-party templates, libraries, and open-source tools as part of deliverables, subject to their respective licenses
Pre-Existing Materials
Any pre-existing intellectual property, templates, or tools owned by Shuksan Studios that are incorporated into a project remain the property of Shuksan Studios. The client receives a non-exclusive license to use such materials as part of the delivered project.
Third-Party Services and Licenses
Projects may incorporate third-party services, tools, or platforms (such as hosting providers, CMS platforms, fonts, or stock media). The client is responsible for maintaining any required subscriptions, licenses, or accounts for third-party services after project delivery.
Revisions and Scope Changes
- The number of revision rounds included will be specified in the service agreement.
- Requests that fall outside the original project scope may be subject to additional fees and timeline adjustments.
- Scope changes will be documented and agreed upon in writing before additional work begins.
Project Cancellation
- Either party may cancel a project with written notice.
- If the client cancels, fees for work completed up to the date of cancellation are due and non-refundable. Any deposits paid may be applied toward work completed.
- If Shuksan Studios cancels, any unused deposits will be refunded and all completed work will be delivered to the client.
Warranties and Disclaimers
- We will perform Services with reasonable skill and care consistent with industry standards.
- We do not guarantee specific business outcomes, search engine rankings, or website traffic resulting from our Services.
- Our website and Services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
- We are not responsible for website issues arising from client modifications, third-party service outages, hosting failures, or factors beyond our reasonable control.
Limitation of Liability
To the fullest extent permitted by applicable law, Shuksan Studios shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our website or Services. Our total liability for any claim related to our Services shall not exceed the total fees paid by the client for the specific project giving rise to the claim.
Indemnification
You agree to indemnify and hold harmless Shuksan Studios from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your use of our Services, or any materials you provide that infringe on the rights of a third party.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts located in Clark County, Washington.
Modifications to Terms
We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated “Last Updated” date. Continued use of our website or Services after changes are posted constitutes acceptance of the revised Terms.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
